Welcome to CaringHand™. These Terms of Service ("Terms") govern your use of the services provided by Adaptic Health, Inc. ("Adaptic Health") and medical services provided by CaringHand™ Medical Group ("CaringHand Medical"). By accessing or using our website at getcaringhand.com, mobile applications, or services (collectively, the "Services"), you agree to be bound by these Terms.

If you do not agree to these Terms, you may not use our Services. Please read these Terms carefully along with our Privacy Policy and HIPAA Notice of Privacy Practices.

Description of Services

Technology Platform

Adaptic Health operates the CaringHand technology platform, which provides access to educational resources, AI-powered support through CaringHand AI, and facilitates communication with healthcare providers. The platform is designed to support cancer survivors and their families throughout their survivorship journey.

Medical Services

CaringHand™ Medical Group provides medical services through licensed healthcare providers specializing in cancer survivorship care. Services include:

• Personalized survivorship care planning supported by AI
• Clinical consultations via telehealth
• Medication management and prescriptions
• Care coordination and provider communication
• Ongoing monitoring and follow-up care

CaringHand AI Assistant

CaringHand AI is an AI-powered assistant that provides educational information and support to help our clinical team serve you better. CaringHand AI does not provide medical advice, diagnoses, or treatment recommendations. For medical concerns, please consult with your CaringHand Medical provider or seek emergency care as appropriate.

User Accounts and Registration

To access our Services, you must create an account and provide accurate, complete information. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access
• Updating your information to keep it current and accurate

You must be at least 18 years of age to create an account and use our Services.

Subscription and Payment Terms

Subscription Plans

CaringHand™ offers subscription-based access to our Services. Current pricing and plan details are available on our website. Subscriptions are billed annually or monthly, depending on your selected plan.

Payment

By providing payment information, you authorize us to charge your payment method for your subscription fees. You agree to:

• Pay all fees associated with your subscription
• Provide valid and current payment information
• Update payment information if it changes
• Pay any applicable taxes

HSA/FSA Eligibility

Our medical services may be eligible for payment through Health Savings Accounts (HSA) or Flexible Spending Accounts (FSA). Please consult with your plan administrator to verify eligibility.

Cancellation and Refunds

You may cancel your subscription at any time through your account settings. Cancellations take effect at the end of your current billing period. We do not provide refunds for partial subscription periods, except as required by law.

Telehealth Services

Nature of Telehealth

CaringHand™ Medical provides healthcare services primarily through telehealth, including asynchronous messaging and video consultations. Telehealth may not be appropriate for all medical conditions.

Not Emergency Services

Primary Care Relationship

CaringHand™ Medical services are designed to complement, not replace, your relationship with your primary care physician. We recommend maintaining regular care with your primary care provider.

State Licensing

Our providers are licensed to practice medicine in specific states. Services are only available to patients located in states where our providers are licensed. You must provide accurate location information when using our Services.

User Responsibilities

When using our Services, you agree to:

• Provide accurate and complete health information
• Follow treatment plans and recommendations
• Communicate openly with your healthcare providers
• Use the Services only for lawful purposes
• Not share your account with others
• Not attempt to access unauthorized areas of our platform
• Not interfere with the operation of our Services
• Not use our Services to harm others or violate their rights

Intellectual Property Rights

The Services, including all content, features, and functionality, are owned by Adaptic Health, CaringHand™ Medical, or our licensors. This includes:

• Text, graphics, logos, and images
• Software and source code
• Educational materials and resources
• AI models and algorithms
• Trademarks and service marks

You may not copy, modify, distribute, sell, or lease any part of our Services without our express written permission.

Limitations of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ADAPTIC HEALTH AND CARINGHAND™ MEDICAL SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

Our total liability for any claims arising from your use of the Services shall not exceed the amount you paid us in the twelve months preceding the claim.

Indemnification

You agree to indemnify and hold harmless Adaptic Health, CaringHand™ Medical, and our affiliates, officers, directors, employees, and agents from any claims, losses, damages, liabilities, and expenses arising from:

• Your use of the Services
• Your violation of these Terms
• Your violation of any rights of another party
• Your provision of inaccurate information

Dispute Resolution and Arbitration

Any disputes arising from these Terms or your use of the Services shall be resolved through binding arbitration rather than in court, except that you may assert claims in small claims court if your claims qualify.

The arbitration will be conducted by the American Arbitration Association (AAA) under its rules. The arbitrator's decision will be final and binding, and judgment may be entered in any court of competent jurisdiction.

You agree to waive your right to a jury trial and to participate in class actions.

Termination

We may suspend or terminate your access to the Services at any time, with or without notice, for:

• Violation of these Terms
• Fraudulent or illegal activity
• Non-payment of fees
• At our discretion to protect our Services or other users

Upon termination, your right to use the Services will immediately cease. Provisions that should survive termination will remain in effect, including those related to intellectual property, liability limitations, and dispute resolution.

Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last modified" date. Your continued use of the Services after changes constitutes acceptance of the updated Terms.

General Provisions

Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law provisions.

Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

Entire Agreement

These Terms, together with our Privacy Policy, HIPAA Notice, and Informed Consent, constitute the entire agreement between you and CaringHand™ regarding the Services.
