Terms of Service

PLEASE READ THESE TERMS OF SERVICE CAREFULLY BEFORE USING THE SERVICES.

These Terms of Service (the “Agreement” or “Terms of Service”) constitute a legally binding agreement between you (“you,” “your,” or “User”) and Adaptic Health, Inc. (“CaringHand,” “we,” “our,” or “us”), governing your access to and use of the Adaptic Health platform, including any websites, applications, products, services, content, functionality, and affiliated technology provided by CaringHand (collectively, the "Services”).

By visiting, accessing, registering with, or using the Services, you acknowledge and agree that you have read, understood, and consented to be bound by these Terms of Service and the CaringHand Privacy Policy. If you do not agree, you must immediately discontinue all use of the Services, delete all files related to the Services from your devices, and, if applicable, notify CaringHand of your termination request.

Important Information Regarding Healthcare Services

CaringHand is a technology and services company. Adaptic does not provide medical advice, diagnosis, or treatment. Clinical care may be delivered through independent physician groups and other licensed professionals (the “Medical Groups” and “Providers”) who contract with CaringHand. CaringHand has no ownership interest in the Medical Groups and does not control the clinical judgment of Providers.

Any provider–patient relationship formed through the Services exists solely between you and the Provider. CaringHand is not responsible for the quality of care rendered by Providers. The Services are not a substitute for primary care, emergency care, or oncology treatment. If you experience a medical emergency, call 911 immediately.

Healthcare services facilitated by the Platform are limited in scope. Providers may order diagnostic testing, prescriptions, or referrals in their sole discretion. You must provide complete and accurate healthcare information to ensure any advice or treatment you receive is appropriate. Failure to do so may result in inaccurate or incomplete recommendations.

AI Chat and Automated Features

The Services may include access to automated tools, including generative artificial intelligence (“AI Chat”). By using AI Chat, you consent to CaringHand processing your submissions, including personal information, and to CaringHand sharing such submissions with third-party AI vendors and algorithms (“AI Tools”) in order to generate responses (“Responses”).

AI Chat is provided solely for educational and supportive purposes. Responses may be false, outdated, incomplete, misleading, or harmful if relied upon as medical advice. AI Chat does not and cannot replace the independent clinical judgment of qualified healthcare professionals. You must not use AI Chat for emergency medical conditions, urgent symptoms, diagnosis, treatment, or medication decisions.

By using AI Chat, you acknowledge and agree that:

  • AI Chat outputs are provided “AS IS” and “WITH ALL FAULTS.”

  • CaringHand makes no warranties regarding the accuracy, completeness, timeliness, or suitability of AI outputs.

  • You assume full responsibility for your use of AI Chat and any consequences arising therefrom.

  • You may opt out of the use of your personal data for AI training purposes by contacting privacy@getcaringhand.com.

Eligibility and Accounts

You must be at least eighteen (18) years old or legally emancipated to use the Services. By creating an account, you represent and warrant that you are legally qualified to enter into this Agreement, that you will provide truthful and accurate information, and that you will maintain the confidentiality of your login credentials. You are solely responsible for all activities occurring under your account.

Payments and Billing

By providing a payment method, you represent that you are authorized to use such method and authorize CaringHand or its third-party payment processor to charge for all fees, including membership fees, consults, applicable taxes, and other charges (each, a “Transaction”). All fees are due as indicated at the time of purchase.

Except where expressly stated otherwise, prepaid memberships and completed consultations are non-refundable. Prices, fees, and taxes may change without prior notice, and you agree that CaringHand may adjust charges accordingly.

Intellectual Property and License

The Services, including all content, code, functionality, trademarks, and intellectual property, are owned by CaringHand or its licensors. Subject to these Terms, CaringHand grants you a limited, revocable, non-transferable, non-sublicensable license to use the Services for your personal, non-commercial purposes. All rights not expressly granted are reserved.

You may not copy, modify, distribute, sell, reverse engineer, or otherwise exploit any part of the Services without CaringHand's prior written consent.

Prohibited Use

You agree not to:

  • Use the Services for unlawful, fraudulent, or malicious purposes.

  • Misrepresent your identity or create duplicate or false accounts.

  • Upload malware, viruses, or harmful code.

  • Infringe intellectual property rights.

  • Scrape, crawl, or harvest data from the Platform.

  • Interfere with or disrupt the Services or related systems.

CaringHand reserves the right to suspend or terminate accounts for prohibited conduct without notice or refund.

Privacy

Your use of the Services is subject to:

  • The HIPAA Notice of Privacy Practices (NPP) when Protected Health Information (PHI) is collected or used by Providers.

  • The CaringHand Privacy Policy (separate document) for non-HIPAA personal data, including cookies, analytics, SMS/email communications, and marketing.

You consent to CaringHand collecting, processing, and disclosing your information as outlined in those policies.

Disclaimers

THE SERVICES, CONTENT, AND AI CHAT OUTPUTS ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. CARINGHAND DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT. CARINGHAND DOES NOT WARRANT THAT THE SERVICES WILL BE ERROR-FREE, UNINTERRUPTED, SECURE, OR FREE FROM DEFECTS.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CARINGHAND AND ITS AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, EXEMPLARY, OR SPECIAL DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

CARINGHAND'S TOTAL LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE GREATER OF ONE HUNDRED DOLLARS ($100) OR THE AMOUNT YOU PAID TO CARINGHAND IN THE SIX (6) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.

Indemnification

You agree to indemnify, defend, and hold harmless CaringHand, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Services, violation of these Terms, or infringement of third-party rights.

Arbitration and Class Action Waiver

Any dispute, controversy, or claim arising out of or relating to these Terms or the Services shall be resolved by binding, individual arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules. The place of arbitration shall be San Francisco or Santa Clara County, California, unless the parties agree otherwise or arbitration is conducted virtually.

YOU WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION, CLASS-WIDE ARBITRATION, OR COLLECTIVE PROCEEDING. ONLY INDIVIDUAL RELIEF IS AVAILABLE.

You may opt out of this arbitration requirement within thirty (30) days of first accepting these Terms by sending written notice to legal@getcaringhand.com with your name, address, email, and clear statement of opt-out.

Termination

CaringHand may suspend or terminate your access to the Services at any time, with or without cause, and without liability. You may terminate your account by contacting legal@getcaringhand.com and discontinuing all use of the Services.

Governing Law and Severability

These Terms shall be governed by the laws of the State of California and the Federal Arbitration Act, without regard to conflict-of-law rules. If any provision of these Terms is found unenforceable, the remaining provisions shall remain in full force and effect.

Notices

CaringHand may provide notices via email, posting on the Platform, or other reasonable means. You agree that electronic notices have the same effect as written notices.

Entire Agreement

These Terms, along with the Privacy Policy and HIPAA Notice of Privacy Practices, constitute the entire agreement between you and CaringHand regarding your use of the Services and supersede all prior agreements, whether oral or written.
